Willdale Limited – Notice of AGM to be held on 30 March 2023

Notice is hereby given that the Annual General Meeting of Willdale Limited will be held in the Boardroom, Willdale Administration Block, 19.5km peg Lomagundi Road, Mount Hampden on Thursday 30 March 2023 at 1100 hours for the purpose of transacting the following business:

Ordinary Business

1. To receive and adopt the financial statements and report of the Directors for the year ended 30 September 2022;
2. To approve the fees for the Directors;
3. To reaapoint BDO Zimbabwe, Chartered Accountants, as auditors for the ensuing year; BDO Zimbabwe have been auditors of the company since 2021
4. To approve audit fees for the year ended 30 September 2022;
5. To re-elect the following Directors who retire in terms of the Company’s Articles of Association and who, being eligible, offer themselves for re-election:

   5.1 Udo Duske
   Mr. Duske is an experienced engineering practitioner who has been on the Board since 2010.

   5.2 Gilbert Machingambi
   Mr. Machingambi is a registered and practising lawyer, notary public and conveyancer. He was appointed to the Board in 2018.

   The re-election of directors will be by separate resolutions.

A member entitled to attend and vote at the meeting may appoint one or more proxies to attend, vote and speak in their stead. The proxy need not be a member of the company. To be effective, the proxy form must be lodged at the company’s registered office at least forty-eight hours before the appointed time for the Meeting.
