MTN Rwandacell Plc AGM to be held on 30 June 2021

MTN Rwandacell has released its First Notice of Annual General Meeting (AGM) of Shareholders since listing by introduction on the Rwanda Stock Exchange.

The 2021 AGM will be held virtually on June 30″, 2021 at 2:00pm (CAT). Shareholders of the newly listed company will be pleased to see that the Board of Directors have approved for recommendation to the Shareholders at the AGM, a dividend payment totalling to RWF 10,200,000,000 (Ten Billion Two Hundred Million Rwandan Francs), which is approximately RWF 7.5/share (Seven point Five Rwandan Francs per share).

MTN Rwandacell announced through the Notice, that payment of dividends will be done on July 1%‘, 2021, subject to Shareholder approval at the AGM, and only for those shareholders who are registered on the Share Register as of June 7:2021. Other business to be raised af the AGM, includes the re-appointment of PwC Rwanda Limited as external auditors, adoption of the 2020 Annual Report and signed audited Financial Statements for the year ended December 31st  2020, as well as the nomination of new Directors to be appointed onto the Board of Directors of the AGM.

The nominated Directors are Ms. Karabo Nondumo, Mr. Adriaan Wessels, Mr. Michael Fleisher, Ms. Patience Mutesi and Mr. Julien Kavaruganda. The Notice indicates that the detailed profiles of these individuals shall be circulated to the Shareholders no later than 21 days ahead of the June 30th, 2021 meeting. The first AGM of MTN Rwandacell Plc as a listed company will provide shareholders an opportunity to access direct information and enjoy direct engagement with MTN Rwandacell Management, which was not possible prior to the listing when These same shareholders held shares in Crystal Telecom Limited, the SPV that previously held 20% of MTN Rwandacell shares.

Details of how Shareholders can access the virtual meeting will be communicated fo all shareholders at a later date within the thirty-day notice period.
