
CECA | Trading of CEC Africa shares on the LuSE
The Board and Management of CEC Africa Investments Limited (“CECA” or “the Company”) wishes to inform shareholders and the market that the Securities and Exchange Commission Zambia (“SEC”) has approved the registration of CECA shares, effective 29 June 2017, as provided for under Section 75 of the Securities Act No. 41 of 2016(“the Securities Act”).
Continuing Obligations imposed on CECA by the Securities Act as a result of the registration of its shares by the SEC
The registration of the CECA shares by the SEC imposes on the Company continuing obligations stipulated under the Securities Act that include the need to disclose timely to shareholders, the market and the SEC any event or development that could have a bearing on the price of the shares.
Admission to Trading of CECA shares on the LuSE Second Tier Market (“Quotation“)
The registration of the CECA shares by SEC means that the shares can now be traded on the second-tier market of the LuSE, referred to as the Quoted Tier.
In this regard, shareholders and the market should note that the SEC has directed that trading of the CECA shares will be permitted to commence 30 days from the date of publication of the interim results of CECA for the period ended 30 June 2017 in order to allow the shareholders and the investing public to make an informed decision. Publication of the interim results of CECA for the period ended 30 June 2017 is expected on or before 15 September 2017.
Access to Audited Financial Statements of CECA
Existing shareholders and prospective investors are hereby informed that the audited financial statements of CECA for the year ended 31 December 2016 can be requested from the Company via email at [email protected] or could be accessed on the websites of Stockbrokers Zambia Limited or Lusaka Securities Exchange at www.sbz.com.zm and www.luse.co.zm respectively.
Extended Cautionary Announcement
The SEC has requested that this cautionary announcement remain in force until the audited financial statements of CECA for the year ending 31 December 2017 are published. Accordingly, shareholders and the investing public are advised to exercise caution when dealing in the shares of CECA before publication of the audited results for the year ending 31 December 2017 and should seek professional advice from a licensed investment adviser or broker.
